1. Acceptance of Terms
By accessing or using Tag Taxonomy ("the Service"), available at tag-taxonomy.app, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. The Service is operated by the developer of Tag Taxonomy ("we", "us", or "our").
We reserve the right to update or modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
2. Description of Service
Tag Taxonomy is a web application that allows users to create, manage, and refine hierarchical taxonomy structures through conversation with an AI agent. Users can create projects, interact with an AI assistant to build taxonomy trees, and manage their taxonomy data.
3. Account Registration
To use the Service, you must create an account through our authentication provider, Clerk. You agree to provide accurate, complete, and current information during registration and to keep your account information up to date.
You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately if you become aware of any unauthorized use of your account.
You must be at least 16 years of age to create an account and use the Service. By creating an account, you represent and warrant that you meet this age requirement.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable local, state, national, or international law or regulation.
- Upload, transmit, or generate content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
- Attempt to gain unauthorized access to the Service, other accounts, computer systems, or networks connected to the Service.
- Interfere with or disrupt the Service or servers or networks connected to the Service.
- Use automated means (bots, scrapers, crawlers) to access the Service without our prior written consent.
- Reverse engineer, decompile, or disassemble any part of the Service.
- Use the Service to generate taxonomies that promote illegal activities, discrimination, or harm.
- Resell, redistribute, or sublicense access to the Service without our prior written consent.
We reserve the right to suspend or terminate your account if we determine, in our sole discretion, that you have violated these Terms.
5. Intellectual Property
5.1 Your Content
You retain all ownership rights to the taxonomy structures, project data, and other content you create using the Service ("Your Content"). By using the Service, you grant us a limited, non-exclusive license to store, process, and display Your Content solely for the purpose of providing and improving the Service.
5.2 Our Service
The Service, including its design, code, features, and documentation, is owned by us and is protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.
5.3 Feedback
If you provide us with feedback, suggestions, or ideas about the Service, you grant us a non-exclusive, royalty-free, perpetual, irrevocable license to use, modify, and incorporate that feedback into the Service without any obligation to you.
6. AI-Generated Content
The Service uses artificial intelligence (powered by OpenAI) to assist in creating and organizing taxonomy structures. You acknowledge and agree that:
- AI-generated suggestions, labels, and organizational structures are provided on an "as is" basis and may not always be accurate, complete, or appropriate for your use case.
- You are solely responsible for reviewing, validating, and approving any AI-generated content before relying on it for any purpose.
- We do not guarantee that AI-generated content will be free from errors, biases, or inaccuracies.
- AI-generated taxonomy suggestions should not be treated as professional advice in any domain (including but not limited to medical, legal, financial, or scientific classifications).
- Your chat messages and project data may be sent to OpenAI for processing. OpenAI's usage policies and terms apply to such processing.
7. Service Availability
We strive to keep the Service available at all times, but we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any loss or damage arising from Service downtime or interruptions.
8. Limitation of Liability
To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of (or inability to access or use) the Service.
- Any conduct or content of any third party on the Service, including AI-generated content.
- Any content obtained from the Service.
- Unauthorized access, use, or alteration of your transmissions or content.
Our total aggregate liability for all claims arising out of or relating to these Terms or the Service shall not exceed the amount you paid us (if any) in the twelve (12) months preceding the claim.
9. Indemnification
You agree to indemnify and hold us harmless from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
10. Termination
You may stop using the Service and delete your account at any time. We reserve the right to suspend or terminate your access to the Service at any time, with or without cause and with or without notice.
Upon termination, your right to use the Service will immediately cease. We may, but are not obligated to, delete your account data and content after termination. Sections of these Terms that by their nature should survive termination will survive, including but not limited to intellectual property provisions, limitations of liability, and indemnification.
11. Governing Law
These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration or the courts of competent jurisdiction.
12. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
13. Entire Agreement
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements and understandings.
